Vega Jewellers Limited has allotted 5,00,000 convertible warrants to its promoters at Rs. 197.42 per warrant, raising up to Rs. 9.87 crore. The warrants were issued equally to two promoters — Naveen Kumar Vanama and Sudhakar Vanama (2,50,000 each). Each warrant can be converted into one equity share of Rs. 10 face value at a premium of Rs. 187.42, within 18 months from allotment, with 25% paid upfront. If all warrants are converted, promoter shareholding will rise from 69.73% to 71.22% of the expanded equity base. The allotment follows BSE's in-principle approval granted on December 29, 2025.
This is promoter-led capital infusion on a preferential basis, signaling promoter confidence in the business. Shareholding of existing non-promoter shareholders will dilute slightly (from 30.27% to 28.78%), but the equity base grows only if and when warrants are converted within 18 months.
