Vega Jewellers (formerly PH Trading Limited) has issued a revised disclosure correcting the post-allotment share count. On May 13, 2025, the company allotted 30,000 equity shares of Rs. 10 face value to one warrant holder (Shaik Shajeeda) upon conversion of warrants at Rs. 41.25 per share, collecting Rs. 12.37 lakh. The company's paid-up equity capital now stands corrected to Rs. 9,50,67,440 divided into 95,06,744 shares (instead of the previously reported 94,79,744 shares). This is the third and final tranche of conversions from the 92,16,298 convertible warrants originally allotted on a preferential basis on December 26, 2024, at Rs. 55 per warrant (Rs. 13.75 upfront + Rs. 41.25 on exercise) to 103 allottees, with a total issue size of about Rs. 50.69 crore.
This is a minor administrative correction with no material impact on shareholders — the dilution was already expected from the original December 2024 warrant issue, and no new fundraising is involved. Shareholders should note the very small increase in share count and no change in fundamental value.
