Vega Jewellers Limited held its 43rd AGM on September 19, 2025 via video conferencing. Out of 14 resolutions tabled, 11 were passed including adoption of FY25 financial statements, re-appointment of two retiring directors (Mr. Rama Mohan Rao Bandlamudi and Mr. Chandrakanth Chereddi), appointment of M/s. Sagar & Associates as statutory auditors, appointment of M/s. Ajay Yadav & Associates as secretarial auditors for 5 years, and expanded borrowing powers. However, all four material related party transaction resolutions (Items 10–13) involving Vega Jewellers J Hills LLP, KKD LLP, ELR LLP, and M/s Vega Jewellers were rejected, with approximately 87% votes cast against them. Notably, promoters (who were 'interested' in these RPTs and therefore should not have voted) mistakenly voted against these resolutions on the CDSL portal; the scrutinizer counted those votes as recorded, which caused the resolutions to fail.
The failure of all four material RPT resolutions is a significant governance event. These related-party transactions will now require board-level approval only and may attract regulatory scrutiny from SEBI/exchanges.
