Voting Results and Scrutinizers Report for the AGM held on 19.09.2025.

Vega Jewellers held its 43rd Annual General Meeting on September 19, 2025 via video conferencing. Out of 14 resolutions, 10 were approved (including adoption of FY25 financial statements, re-appointment of two directors — Rama Mohan Rao Bandlamudi and Chandrakanth Chereddi — appointment of M/s Sagar & Associates as statutory auditors, borrowing powers under Section 180(1)(c), authority to sell/lease/mortgage undertakings under Section 180(1)(a), loans/guarantees under Sections 185 and 186, and increased contribution to Vega Jewellers J Hills LLP). Resolutions 10 to 13, which sought shareholder approval for material related-party transactions with Vega Jewellers J Hills LLP, KKD LLP, ELR LLP, and M/s Vega Jewellers, were all rejected. On these four RPT resolutions, only 13.01% of votes were in favour and 86.99% against, because public shareholders voted 100% against and promoters, who were interested parties, had cast their votes in favour (which were then counted as 'against' for the resolution per the scrutinizer's assessment). Promoters later requested their votes be invalidated, but the scrutinizer relied on CDSL records and counted them. Total votes polled were 77.48 lakh shares out of 94.77 lakh outstanding (81.76% participation).
