Attached herewith the Compliance Certificate under Regulation 40(10) of SEBI-LODR

Velan Hotels Ltd has submitted a routine compliance certificate issued by Practicing Company Secretary S. Ganesh Viswanathan for the financial year ended 31 March 2025. The certificate confirms that the Company Secretary reviewed all share transfer deeds, registers, and related documents maintained by the Registrar and Share Transfer Agent (MUFG Intime India Pvt Ltd). It confirms that no share transfer requests were processed during the year because physical share transfers have been barred by SEBI. The RTA issued Letters of Confirmation within 30 days for all duplicate share certificate requests, and no requests for name deletion, sub-division, consolidation, renewal, exchange, or endorsement of shares were received during the period.
