Veranda Learning Solutions has undertaken an internal group restructuring effective March 11, 2026. Its subsidiary Veranda Administrative Learning Solutions transferred its 100% stake in Neyyar Academy and Neyyar Education to another subsidiary, Veranda Race Learning Solutions. Additionally, the board approved merging Veranda IAS Learning Solutions and Neyyar Academy into Veranda Race Learning Solutions to consolidate the Government Test Preparation segment. The merged entities had combined nine-month revenues (till Dec 2025) of about Rs. 429.36 lakhs being folded into Veranda Race Learning Solutions, which had revenues of Rs. 7,483.23 lakhs. The restructuring involves no change in the shareholding pattern of the listed parent company.
This is an internal consolidation exercise among wholly-owned subsidiaries and does not affect Veranda Learning's shareholding, financials at the consolidated level, or promoter holdings. Investors are unlikely to see any material impact on stock price; the move is aimed at simplifying the group structure and improving operational efficiency in the government exam coaching segment.
