Veranda Learning Solutions Limited (VLS) has informed the exchanges that the NCLT Chennai Bench, by order dated March 18, 2026, has directed a court-convened meeting of equity shareholders on Friday, April 24, 2026 at 11:00 AM (IST) via video conferencing. The meeting will consider and approve a Composite Scheme of Arrangement involving VLS (as Amalgamated/Demerged Company), Veranda XL Learning Solutions Private Limited (VXLS, as Amalgamating Company), and J.K. Shah Commerce Education Limited (JSCEL, as Resulting Company). The scheme involves amalgamation of VXLS into VLS and demerger into the newly incorporated JSCEL. BSE and NSE have already issued no-objection observation letters dated January 19 and January 20, 2026 respectively. The cut-off date for voting eligibility is April 17, 2026, with remote e-voting open from April 20 to April 23, 2026 via CDSL. Approval requires a majority in number representing three-fourths in value of voting shareholders.
