The NCLT Chennai Bench has ordered that a meeting of equity shareholders of Veranda Learning Solutions Limited (VLS) be held on April 24, 2026 to consider and approve a Composite Scheme of Arrangement. The scheme involves VLS as the Demerged/Amalgamated Company, Veranda XL Learning Private Limited (VXLS) as the Amalgamating Company, and J.K. Shah Commerce Education Limited (JSCEL) as the Resulting Company, originally approved by VLS's Board on September 11, 2025. The NCLT has dispensed with the need for meetings of creditors of VLS, VXLS, and JSCEL, as well as shareholder meetings of VXLS and JSCEL, simplifying the approval process. A certified copy of the order is awaited, and the scheme still requires other regulatory approvals before it can take effect.
Shareholders of VLS will get to vote on this composite restructuring (which includes elements of demerger and amalgamation) on April 24, 2026. The outcome could reshape the company's structure by bringing in J.K. Shah Commerce Education and consolidating Veranda XL, potentially affecting the stock's valuation.
