Veranda Learning has announced the demerger of its Commerce vertical under its Veranda 2.0 strategy. The company will acquire the remaining 24% stake in Veranda XL Learning Solutions from Prof. J.K. Shah, making it a wholly owned subsidiary. A significant portion of QIP proceeds will be used to redeem NCDs issued by Veranda XL to Ascertis Credit (formerly Barings Private Equity Asia), making the subsidiary debt-free. The Board has approved incorporating a new wholly owned subsidiary, J.K. Shah Commerce Education Limited, which will house brands like J.K. Shah Classes, BB Virtuals, Navkar Digital Institute, Tapasya College of Commerce, and Logic School of Management. The new entity targets ₹1,000 crore in revenue by FY30 and is expected to be listed on NSE and BSE within approximately 12 months via the automatic listing route.
Shareholders may benefit from a focused Commerce vertical with independent growth potential, reduced subsidiary debt, and a future separate listing. In the short term, the move signals strategic clarity and capital discipline, but successful execution of the demerger and NCLT approvals remain key milestones to watch over the next year.
