Suzlon Energy has reported the vesting of stock options under its Employee Stock Option Plan 2022 (ESOP 2022). A total of about 7.04 crore options are vesting in May 2025 across three earlier grants (Grant 1 at Rs.5, Grant 2 at Rs.30, Grant 3 at Rs.24). At the same time, the Nomination and Remuneration Committee, in a meeting held on 19 May 2025, approved fresh grants of about 4.77 crore options to eligible employees and those of its subsidiaries — 1.31 crore options at Rs.45 per option (Grant 4) and 3.46 crore options at Rs.40 per option (Grant 5). The new grants follow a standard 50-50 vesting schedule over two years, with part of the first-year vesting linked to performance. The filing has been made under SEBI's listing and share-based employee benefits regulations.
This is a routine ESOP disclosure and is largely neutral for shareholders. The large pool of options (over 11 crore cumulative) means future dilution is possible if employees exercise, but vesting and grants under an approved plan are expected events and were already factored in.
