Viji Finance Limited has called an EGM on April 23, 2026 seeking shareholder approval for a preferential issue of up to 127.5 million warrants convertible into equity shares of Re. 1/- each at Rs. 2.80 per warrant, aggregating Rs. 35.70 crore. The warrants will be issued to 22 non-promoter persons (mostly HUFs and individuals), with 25% payable at subscription (Rs. 0.70) and remaining 75% (Rs. 2.10) at exercise within 18 months. The relevant date for pricing was March 24, 2026. All allottees are non-promoters, and the equity shares arising from conversion will be listed subject to regulatory approvals.
If approved, this will result in significant dilution of existing shareholders as up to 127.5 million new equity shares may be issued. The warrant holders will become eligible to obtain equity shares at Rs. 2.80 per share within 18 months of allotment, potentially increasing the company's paid-up capital substantially.
