Vikas Lifecare Limited has sent a Postal Ballot Notice to shareholders seeking approval through remote e-voting (April 16 to May 15, 2026) on three items. The first is a special resolution to alter the Articles of Association to allow further issue of capital on a preferential basis. The second is a special resolution to issue up to 61,90,62,500 fully convertible warrants at Rs. 1.60 per warrant to promoter group entities and 22 non-promoter allottees, for an aggregate value of about Rs. 99.05 crore. The third is an ordinary resolution to raise the authorized share capital from Rs. 235 crore to Rs. 300 crore (equity shares of Re. 1 face value), along with a corresponding amendment to the Memorandum of Association. The promoter group (Vikas Garg, Advikca Finvest, Just Right Life) would collectively get 33.5 crore warrants, while non-promoter public category allottees would get 28.4 crore warrants.
If approved, the company plans a large preferential allotment that, on full conversion, would substantially expand its equity base and dilute existing shareholders. Promoter participation suggests some alignment of interest, but the size of the issue relative to the company's current authorized capital is significant. Shareholders should review the rationale, pricing, and use of proceeds before voting.
