Vikas Lifecare Limited's Fund-Raising Committee has approved the allotment of up to 61.9 crore Fully Convertible Warrants at Rs. 1.60 per warrant, raising Rs. 99.05 crores. The warrants are being issued to both Promoter/Promoter Group (33.5 crore warrants) and Non-Promoter Public Category (28.4 crore warrants). Each warrant is convertible into one equity share of face value Rs. 1 within 18 months from allotment. Post full conversion, promoter holding will increase from 14.22% to 24.20%, while public holding will dilute from 85.78% to 75.80%. The issue is subject to shareholder and regulatory approvals.
This preferential allotment will significantly dilute existing shareholders. The large promoter participation signals promoter confidence but increases promoter influence. The Rs. 99 crore raise could support company growth but warrants conversion at low price may pressure share price.
