Vikram Kamats Hospitality Ltd has dispatched a Postal Ballot notice seeking shareholder approval to issue up to 13,60,000 equity shares on a preferential basis at Rs. 75 per share (including Rs. 65 premium), raising up to Rs. 10.20 crores. The issue price is above the SEBI-determined floor price of Rs. 61.56 per share, and shares will be allotted to four non-promoter allottees: KSK Energy Company Pvt Ltd (6,66,670 shares), Pravan Holdings LLP (6,66,670 shares), Sunil Dhawan HUF (13,330 shares), and Rahul Anant Joshi (13,330 shares). E-voting runs from 15 August to 13 September 2025, and proceeds will fund new units, expansion, loans to subsidiary, brand building, working capital, and general corporate purposes. There is no change in control post-issue, with promoter holding reducing marginally from 54.26% to 51.33%. Separately, 8,03,568 warrants (out of 19,12,163 issued earlier at Rs. 74) were converted into equity shares on 14 August 2025.
Small dilution of roughly 7.4% on expanded capital base at a premium to floor price — broadly neutral, indicating fresh investor interest. Shareholders should note ongoing capital-raising activity, including an earlier Rs. 12.93 crore preferential issue to 54 allottees and ongoing warrant conversions, which are gradually increasing the public float.
