Vikram Thermo India held its 31st Annual General Meeting on 26th September 2025 at 11:00 AM via video conferencing. Out of 13,006 shareholders on record date, 45 attended through VC (25 from promoter group and 20 from public). All 5 ordinary resolutions were passed with near-unanimous support (~100% in favour). The resolutions covered: (1) adoption of audited financial statements for FY ended 31 March 2025, (2) declaration of dividend on equity shares, (3) reappointment of Managing Director Mr. Dhirajlal Karsanbhai Patel (who retires by rotation), (4) appointment of M/s A Shah & Associates as secretarial auditor for five years till FY 2029-30 AGM, and (5) ratification of cost auditor appointment and remuneration for FY 2025-26. The scrutinizer M/s A. Shah & Associates (CS Anish Shah, FCS 4713) confirmed the voting results were valid. Notably, for Resolution 3, about 61.7 lakh promoter group votes were marked invalid/abstained, which reduced overall participation to roughly 46% for that resolution.
The dividend declaration is a positive signal for shareholders, confirming a cash return for FY25. The near-unanimous approval of all resolutions indicates broad shareholder agreement and no meaningful governance dissent. The high abstention by promoters on the MD's reappointment is a minor flag worth tracking but did not affect the outcome.
