Vintage Coffee And Beverages Limited has issued a corrigendum to its 2nd EGM notice scheduled for July 30, 2025, after receiving suggestions from BSE and NSE. The company is proposing a preferential issue of up to 1.5 crore equity shares at Rs. 124 per share, aiming to raise up to Rs. 186 crore from non-promoter allottees including QIBs and individuals. The floor price was set at Rs. 122.24 based on SEBI ICDR pricing rules. Two originally proposed allottees (Sanjeev Agarwal with 2 lakh shares and Pawan Agrawal with 50,000 shares) have been removed, and their shares have been redistributed among other allottees. The proceeds will be used mainly for investments in wholly owned subsidiaries for capital expenditure (Rs. 100 crore), working capital (Rs. 28.52 crore), issue expenses (Rs. 10.97 crore), and general corporate purposes (Rs. 46.50 crore). Major institutional allottees include Bandhan Small Cap Fund (43.55 lakh shares), Astorne Capital VCC-Arven (25.88 lakh shares), and Nuvama Enhanced Dynamic Growth Equity Fund (12.10 lakh shares). There will be no change in control of the company, and the post-issue share capital will expand from about 13.01 crore to 14.75 crore equity shares.
This is a fund-raising move of up to Rs. 186 crore that will dilute existing shareholders' stake by roughly 11-12% on a fully diluted basis, with the promoter group's holding percentage expected to decrease.
