Virtuoso Optoelectronics has allotted 5,86,081 equity shares to Malabar India Fund Ltd following the conversion of an equal number of warrants at Rs. 455 per share (including a Rs. 445 premium), on a preferential basis. This is the second tranche of conversion from the original 30,76,923 warrants issued to Malabar on August 26, 2025 at an aggregate value of about Rs. 140 crore; 8,79,121 shares were already allotted earlier. With this conversion, Malabar's stake in the company has risen from 2.89% to 4.73%. The company received Rs. 20.00 crore as the 75% balance payment for this tranche, taking total paid-up equity capital from 3,03,67,877 shares to 3,09,53,958 shares. Malabar still has 16,11,721 warrants pending that can be converted by August 25, 2026.
This is a positive development for shareholders as it brings in an additional Rs. 20 crore from a reputed institutional investor and strengthens Virtuoso's equity base. The upcoming potential conversion of the remaining warrants means further dilution is still possible, but the staggered conversion shows continued investor confidence from Malabar at the originally agreed price.
