Vivid Mercantile Ltd has submitted its 31st Annual Report for FY 2024-25 and notice of the 31st AGM scheduled for 27th September 2025 at 12:00 PM via video conferencing. Total income fell sharply to Rs. 1,675.26 lakhs from Rs. 2,832.76 lakhs in the previous year, while profit after tax dropped to Rs. 137.70 lakhs from Rs. 1,297.80 lakhs. The Board did not recommend any dividend for the year. During the year, the company carried out a stock split, reducing face value from Rs. 10 to Rs. 1 per share. Shareholders will consider appointing M/s. Shah Karia & Associates as new statutory auditor for five years and M/s Neelam Somani & Associates as secretarial auditor for FY 2025-26 to 2029-30. Mrs. Geetaben Satishbhai Gajjar will retire by rotation and seek re-appointment.
Sharp year-on-year decline in both revenue and profit is a red flag for shareholders and may put pressure on the stock price. The stock split improves liquidity for small investors, but absence of dividend reflects cautious cash conservation.
