V-Mart Retail promoter Lalit Agarwal has acquired 13,908 equity shares of Conquest Business Service Pvt. Ltd. (CBSPL), the promoter entity that holds 37.75% in V-Mart, from Madan Gopal Agarwal via a Gift Deed executed on June 27, 2025. As a result, Lalit Agarwal's stake in CBSPL rises from 57.09% to 71.00%, while Madan Gopal Agarwal exits CBSPL entirely. The transfer is exempt from an open offer under Regulation 10(1)(a)(i) as an inter-se transfer between immediate relatives. Additionally, 1.97 crore Compulsorily Convertible Debentures (CCDs) of CBSPL are pending transfer due to a technical ISIN issue, expected to be resolved in about 15 days. V-Mart's direct promoter holding remains unchanged at 37.75% through CBSPL.
This is an internal family restructuring within the promoter group and does not change V-Mart's overall promoter shareholding of 37.75%.
