V-Mart Retail has announced the results of its postal ballot conducted via remote e-voting between May 14 and June 12, 2025. Two ordinary resolutions were put to shareholders: (1) increase in authorised share capital and alteration of the Capital Clause of the Memorandum of Association, and (2) issue of bonus shares. About 90.31% of outstanding shares were polled (17,920,900 votes). The share capital increase resolution passed with 99.98% votes in favour, while the bonus shares resolution passed with 98.51% in favour. The promoters and promoter group declared no interest in either resolution. Both resolutions were approved with the requisite majority on June 12, 2025.
Approval of the bonus issue is a positive event for existing shareholders, rewarding them with additional free shares, while the authorised capital hike is a routine enabler for that issuance. With overwhelming shareholder support, near-zero dissent, and promoter neutrality signalled, this is largely procedural and already priced in by the market.
