VMS Industries Ltd has informed the stock exchanges that its promoter and Managing Director, Mr. Manoj Kumar Jain, has released 5,00,000 (five lakh) equity shares from an existing pledge with Bank of Baroda, SME Branch Ahmedabad. Before the release, the promoter had 29,42,017 shares encumbered (12.02% of total share capital), which has now reduced to 24,42,017 shares (9.98%). Mr. Jain's total holding in the company remains 61,68,100 shares (25.20%). For the broader promoter and promoter group, total encumbered shares came down from 49,42,017 (20.19%) to 44,42,017 (18.15%), while promoter group overall holding stands at 93,25,164 shares (38.10%). The release was made pursuant to a Bank of Baroda Sanction Letter and was carried out on December 3, 2025.
This is a positive development for shareholders — the pledging of promoter shares has gone down, not up, and crucially there is no invocation (forced sale) by the bank.
