Bluegod Entertainment Limited (formerly Indra Industries Limited) held its 41st AGM on 23rd September 2025 via video conferencing. All six resolutions were passed, including adoption of FY25 audited financial statements, re-appointment of Ms. Afsana Mirose Kherani as director (retiring by rotation), appointment of M/s Vishakha Agrawal & Associates as Secretarial Auditor for five years (FY26–FY30), approval under Section 185 for loans/guarantees, an increase in Section 186 investment threshold to Rs. 250 Crores, and raising the FPI/FII aggregate shareholding limit to 49% of paid-up equity capital. Voting was thin, with only 12,65,489 shares (0.230% of outstanding equity) cast by 81 public non-institutional shareholders; notably, the Promoter and Promoter Group held and voted 0 shares. Approval rates ranged from 97.197% to 99.999%, with the three special resolutions (Items 4, 5, 6) drawing slightly more dissent (1.27%–2.80% against) than the ordinary ones.
Shareholders have cleared a wide mandate giving the board flexibility to lend, invest up to Rs. 250 Crores, and allow up to 49% FPI/FII ownership, which could attract foreign capital but also increases governance risk. The 0% promoter holding and very low voter turnout (0.23%) are unusual and may raise questions about shareholding structure and shareholder engagement.
