Sanghi Industries has disclosed the results of a postal ballot conducted via e-voting from September 23, 2025 to October 22, 2025, based on a notice dated July 28, 2025. Two ordinary resolutions were put to shareholders: (1) approval of material modifications to related party transactions with Adani Enterprises Limited and/or its wholly owned subsidiary, and (2) approval of material modifications to related party transactions with Adani Cement Industries Limited. Both resolutions passed with overwhelming support, with 99.71% of votes polled in favour (only 0.29% against). Out of 73,473 shareholders on record, only about 26 lakh shares voted, representing just 1.01% of the outstanding shares — a typical low turnout for postal ballots. The promoter group did not vote on either resolution; notably, promoters were marked as interested in Resolution 2 (Adani Cement Industries).
Shareholders have cleared the way for Sanghi Industries to modify its related party dealings with two Adani group companies, reinforcing operational and commercial linkages with the Adani ecosystem. The near-unanimous approval (99.71% in favour) signals negligible public shareholder dissent, which is mildly positive for corporate governance optics, though the very low voting participation is worth noting.
