Carnation Industries held its 40th AGM on September 30, 2025, where all 10 resolutions were passed with overwhelming approval (99.998% in favour). Of the 34.57 lakh total shares, about 91.1% (31.50 lakh) were polled through e-voting, with only 54 votes against across all items. Three ordinary resolutions covered adoption of FY25 audited financials, reappointment of director Ms. Bhawna Gupta (DIN: 10101543), and appointment of M/s Avinash K & Co. as secretarial auditor. Seven special resolutions approved adopting a new Memorandum of Association, amending the objects clause, raising borrowing limits under Sections 180(1)(c) and 180(1)(a), permitting loans/guarantees under Section 185, increasing loan and investment limits under Section 186, and approving related party transactions under Section 188. The scrutinizer, Avinash K & Co., Company Secretaries, certified the results.
All items were approved with near-unanimous support, giving the board broad authority to borrow, lend, invest, and enter related-party deals without seeking shareholder approval again for these items. The promoter group holds about 89.97% of shares (31.11 lakh of 34.57 lakh), which explains the dominant voting pattern. No material governance red flags, though the expanded borrowing and related-party mandates are worth monitoring.
