Bluegod Entertainment Ltd (formerly Indra Industries Ltd) announced the results of its postal ballot (remote e-voting) that closed on August 20, 2025. Shareholders approved two resolutions: (1) a Special Resolution to sub-divide each equity share of Rs. 10 face value into 10 equity shares of Rs. 1 each (1:10 stock split), and (2) an Ordinary Resolution to alter the Capital Clause of the Memorandum of Association to reflect the new authorised share capital of Rs. 56 crore divided into 56 crore shares of Rs. 1 each. Both resolutions passed with 59,737 votes in favour and only 2 votes against (99.9967% in favour), but turnout was extremely thin at just 59,739 shares voted, which is only 0.1085% of the public shareholding of 55,055,095 shares. Notably, the Promoter and Promoter Group did not cast any votes at all. The board will now fix a record date to give effect to the stock split.
The 1:10 stock split will not change the total value of any shareholder's holdings but should make the stock more affordable and improve retail participation and liquidity. Investors should watch for the record date announcement, after which existing shares will automatically reflect the new face value in their demat accounts.
