JSW Infrastructure announced the results of its postal ballot concluded on 22nd June 2025, with all four resolutions passed by the required majority. Shareholders approved the re-appointment of Mr. Amitabh Kumar Sharma as Independent Director (98.19% in favour) and the appointment of Ms. Anita Belani as Director and Independent Director (99.47% in favour). Two ordinary resolutions were also passed approving material related-party transactions (RPTs) between the company's wholly-owned subsidiaries — JSW Jaigarh Port Limited and JSW Dharamtar Port Private Limited — and JSW Steel Limited for FY 2025-26, with 97.79% support in each case. Notably, promoter group shareholders (who hold ~85.6% of equity) did not vote on the RPT resolutions as they are considered interested parties, while institutional and non-institutional public shareholders provided the decisive approvals. Voting was conducted via remote e-voting and scrutinised by Sunil Agarwal & Co., Company Secretaries.
All four resolutions cleared comfortably, meaning continuity of board composition and seamless execution of business dealings with group company JSW Steel for the coming year. The modest dissent (~2.2%) on the RPTs is worth tracking but unlikely to materially affect the stock; investors should note the growing intra-group transaction pipeline at JSW's port businesses.
