VRL Logistics reported audited results for FY26 ended March 2026. Full-year revenue from operations was ₹3,22,111 lakhs, up about 1.9% from ₹3,16,095 lakhs in FY25. Profit after tax (PAT) for the year stood at ₹23,683 lakhs, a significant jump of approximately 29.8% compared to ₹18,242 lakhs in the prior year. For Q4 FY26 standalone, revenue was ₹85,155 lakhs and PAT was ₹7,421 lakhs. The statutory auditor Walker Chandiok & Co LLP issued an unmodified (clean) audit opinion with no qualifications. Notably, the auditor changed from Kalyaniwalla & Mistry LLP (who audited FY25) to Walker Chandiok & Co LLP for FY26. A 1:1 bonus share issue was allotted on 18 August 2025, doubling the paid-up share capital from 87.47 million to 174.94 million shares of ₹10 each.
Strong PAT growth of ~30% is positive for shareholders, while modest revenue growth of ~2% reflects a slower top-line environment. The clean audit opinion and absence of qualifications are reassuring. The bonus share allotment doubles the share count, which will halve EPS on a per-share basis going forward.
