We are enclosing herewith the summary proceedings of the Annual General Meeting of the Company held on June 20, 2025 alongwith voting results.

Tata Motors held its 80th AGM on June 20, 2025 via video conferencing from 3:00 PM to 6:05 PM, chaired by N Chandrasekaran. All 28 resolutions were passed with requisite majority, including adoption of standalone and consolidated financial statements for FY25, declaration of a dividend on ordinary shares, re-appointment of N Chandrasekaran (retiring by rotation), appointment of Guenter Karl Butschek as Independent Director, re-appointment of Kosaraju Veerayya Chowdary as Independent Director, and appointment of M/s Parikh & Associates as Secretarial Auditor for five years (April 2025 to March 2030). The Chairman paid tribute to Padma Vibhushan Ratan N Tata (who passed away on October 9, 2024) and observed a one-minute silence for victims of the June 12, 2025 Air India flight crash. CFO P B Balaji presented financial highlights covering Revenue, EBITDA, PBT and Free Cash Flow for the three businesses — Commercial Vehicles, Passenger & Electric Vehicles, and JLR. The proposed demerger of the commercial vehicles business is expected to be completed within calendar year 2025. Multiple material related-party transaction resolutions involving Tata group entities (Tata Cummins, Tata Technologies, JLR, Tata AutoComp group, etc.) were also approved, with promoter group not voting on these.
