Welcure Drugs & Pharmaceuticals has filed its 33rd Annual Report for FY 2024-25 with BSE. The 33rd Annual General Meeting is scheduled for September 27, 2025 at 3:00 PM through video conferencing. The AGM notice contains several major corporate proposals: (1) a stock split sub-dividing each Rs. 10 face value share into 10 shares of Rs. 1 each, (2) a bonus issue in the ratio of 1:10 (one bonus share for every 10 held), capitalising up to Rs. 11.23 crore from securities premium/reserves, (3) a Qualified Institutions Placement (QIP) to raise up to Rs. 80 crore, and (4) an increase in authorised share capital from Rs. 186 crore to Rs. 196 crore. The notice also seeks shareholder approval to raise the FPI/FII investment limit to 49% of paid-up equity capital and to increase the threshold for loans, guarantees and investments under Section 186 to Rs. 500 crore. New statutory auditor M/s. Sarang Shivajirao Chavan & Associates is proposed for a five-year term, and three new directors (Ravi Thakor, Yogeshkumar Prajapati, Bhumika Pradhan) are up for regularization. Several board changes occurred during the year including a new Managing Director (Chintan Didawala) and Company Secretary (Palak Jain).
The combination of stock split (10:1), 1:10 bonus issue, and Rs. 80 crore QIP signals a significant expansion phase — share count will multiply, liquidity should improve post-split, and dilution from the QIP is likely. Short-term share price may adjust for the corporate actions, but shareholders effectively get more shares plus fresh growth capital.
