Wendt (India) Limited informed the exchanges that its two promoters — Carborundum Universal Limited (CUMI) and Wendt GmbH — have amended their existing shareholders' agreement on 14th May 2025. The amendment enables Wendt GmbH to sell up to its entire 37.5% stake (7,50,000 shares) in the company through the Offer for Sale (OFS) route. Once Wendt GmbH's holding falls below 10% of the share capital, it will cease to be a joint venture partner and the shareholders' agreement between the two promoters will be terminated. The company itself is not a party to this agreement, and no liability is imposed on it. This is a follow-up amendment to the ROFR Side Agreement originally signed on 21st January 2025.
