Wheels India Limited (WIL) and Brakes India Private Limited (BIPL), collectively called the 'TSF Companies', have entered into a 50:50 Joint Venture Agreement with Bosch Limited to form a new JV Company for development and production of solutions for the commercial vehicle (CV) air system segment. Bosch will hold 50% and the TSF Companies (including affiliates) will collectively hold the remaining 50%. The JV board will have 4 directors — 2 nominated by Bosch and 2 by the TSF Companies. A 5-year lock-in on share transfers applies, with provisions for affiliate and post-lock-in competitor transfers with consent. The rationale is to address the global OEM shift toward modular, electronically controlled air and braking platforms, leveraging synergies in product development, manufacturing, assembly, and sales. Bosch's turnover for FY2025-26 was INR 20,035 Crores, WIL's was INR 5,124 Crores, and BIPL's was INR 8,034 Crores. The transaction is not a related party transaction.
The JV brings together major automotive component players (WIL, BIPL, and Bosch) in a high-growth commercial vehicle segment, which could be positive for Wheels India's long-term revenue prospects, though near-term financial impact is likely minimal as the JV is yet to be incorporated.
