Wheels India Limited will hold its 66th AGM on July 17, 2025 at 10:00 AM via video conferencing. The Board has proposed a final dividend of Rs. 7.03 per share (70.3%) on 2,44,33,012 equity shares, absorbing Rs. 17.17 crore, taking the total FY25 dividend to Rs. 11.53 per share (Rs. 4.50 interim already paid + Rs. 7.03 final). The Register of Members will be closed from July 11 to July 17, 2025, with the e-voting cut-off date set as July 10, 2025 and the e-voting window running from July 14 (9:00 AM) to July 16 (5:00 PM). Other AGM business includes re-appointment of Mr. S Viji (a 78-year-old non-executive director requiring a special resolution), ratification of cost auditor remuneration (Rs. 8.25 lakh to Geeyes & Co.), appointment of M/s. S Dhanapal & Associates LLP as secretarial auditor for 5 years, and approval to pay commission to non-executive directors for FY25-FY29 capped at 1% of net profits. The annual report shows FY25 revenue of Rs. 4,424.86 crore (down from Rs. 4,619.03 crore) but profit after tax jumped 56% to Rs. 105.85 crore, with EPS rising to Rs. 43.32.
Shareholders holding shares as on July 10, 2025 will be eligible for the final dividend and can vote electronically between July 14-16. The strong PAT growth and higher dividend payout signal improved profitability and shareholder rewards, though the slight revenue dip is worth noting.
