Windsor Machines has allotted 7,00,000 equity shares to Mr. Rameshbhai Keshubhai Siyani (Promoter Group) upon conversion of an equal number of warrants on a preferential basis. The shares were issued at ₹191.85 each (including a premium of ₹189.85 over the ₹2 face value), and the company received ₹10.07 crore as the balance 75% warrant exercise price. Following this allotment, the promoter's stake rose from 5.98% to 6.68% of the paid-up capital, and total shares outstanding increased from 8.78 crore to 8.85 crore. This is the second tranche of warrant conversions, with 1.49 crore warrants still pending conversion by other holders.
Mildly dilutive for existing shareholders, but since the allotment is to the Promoter Group, it signals promoter confidence and commitment of capital.
