Windsor Machines Limited has announced the conversion of 27,80,000 equity warrants into 27,80,000 equity shares at ₹191.85 per share (including ₹189.85 premium). The allottee is Mr. Rameshbhai Keshubhai Siyani from the Promoter Group. The company received ₹40 crore (75% of issue price per warrant) as the warrant exercise price. Post-conversion, the company's paid-up capital increased from ₹17.70 crore to ₹18.26 crore, and the allottee's stake increased from 6.68% to 9.52%. Approximately 1.22 crore warrants remain pending for future conversion within 18 months from the original allotment date.
Dilution of approximately 3.14% in the company's equity base as promoter holding increases. This represents continued promoter conviction in the company, though existing shareholders will see their ownership percentage reduced.
