Winro Commercial (India), an RBI-registered NBFC focused on investments and lending, announced its Q1FY26 (quarter ended June 30, 2025) unaudited results. Standalone total revenue from operations fell sharply to Rs 7,243.71 lakhs from Rs 18,241.23 lakhs in Q1FY25, a YoY decline of about 60%, mainly because net gains on fair value changes dropped to Rs 6,493.09 lakhs from Rs 17,940.93 lakhs. Standalone profit after tax fell about 59% YoY to Rs 5,772.13 lakhs (EPS Rs 577.14 vs Rs 1,119.66). On a consolidated basis, PAT after share in associates was Rs 11,583.23 lakhs versus Rs 17,226.04 lakhs, a roughly 33% YoY decline, giving EPS of Rs 1,041.09. The board also approved the 42nd AGM notice for September 25, 2025 (via video conferencing), re-appointment of Mr. Hetal Khalpada as director, and appointment of M/s. N.S. Gokhale & Co. as the new statutory auditor for three years in place of the current reviewer Sarda & Pareek LLP.
Profitability is down sharply year-on-year because investment-related fair value gains shrank this quarter, which is normal volatility for an investment and trading NBFC but may weigh on near-term sentiment. Investors should also note the change in statutory auditor from Sarda & Pareek LLP to N.S. Gokhale & Co. effective from the upcoming AGM, and the book closure window of September 18–25, 2025.
