Wipro Limited has issued a Notice of Postal Ballot seeking shareholder approval for three special resolutions via remote e-voting. The resolutions include: (1) re-appointment of Ms. Tulsi Naidu as Independent Director for a second 5-year term starting July 1, 2026, (2) appointment of Ms. Laura Marie Miller as Independent Director for a 5-year term starting April 1, 2026, and (3) buyback of equity shares of the Company. E-voting commenced on April 22, 2026 at 9 AM IST and will close on May 21, 2026 at 5 PM IST. The cut-off date for determining eligible voters was April 17, 2026. Results will be announced by May 25, 2026. V. Sreedharan & Associates has been appointed as the Scrutinizer for conducting the e-voting process fairly and transparently.
The director appointments strengthen Wipro's board with independent oversight. The share buyback proposal, if approved, could support stock price by reducing share count and returning capital to shareholders. Shareholders should cast their votes before the May 21 deadline.
