AI summary

Wipro has informed the stock exchanges that two of its Independent Directors, Dr. Patrick J. Ennis and Mr. Patrick Dupuis, will retire from the Board with effect from the close of business hours on March 31, 2026. The retirement is due to the completion of their tenure under Section 149(11) of the Companies Act, 2013, which governs the maximum term allowed for independent directors. Following this, the Nomination and Remuneration Committee (which also acts as the CSR Committee) and the Stakeholders Relationship Committee have been reconstituted effective April 1, 2026, with Ms. Tulsi Naidu chairing the NRC and Mr. Deepak M Satwalekar chairing the Stakeholders Relationship Committee. The changes are routine and aligned with statutory tenure limits.

Likely market impact

This is a routine, planned retirement of independent directors at the end of their statutory tenure, not a sudden or controversial exit. Shareholders are unlikely to see any negative impact on the stock, and the board continues to have adequate independent oversight with the remaining members.
