Worth Investment & Trading Co Ltd submitted its Annual Secretarial Compliance Report for FY25 to BSE, as required under SEBI LODR Regulation 24A. The Practicing Company Secretary flagged 17 instances of non-compliance during the year, including failure to update paid-up equity capital on a diluted basis across quarters, delayed integrated filing for Q3 FY25, and several missed XBRL filings related to a warrant conversion in April 2024 and a bonus share allotment on 18th November 2024. The company also failed to file Statement of Deviation/Variation under Regulation 32 for both the warrant issue and the bonus issue, and did not properly maintain its Structural Digital Database under insider trading rules (the server was even shared with a group company). Additional lapses included missing counter-signing on scrutinizer's reports for two EGMs, incomplete website disclosures, not sending intimations to physical shareholders, not updating statutory auditor details, and not freezing PANs of designated persons during two trading window closures. Importantly, no fines or penalties were imposed by SEBI or the exchange for any of these lapses, and the company has committed to rectifying them going forward.
While no monetary penalties have been levied, the long list of compliance lapses signals weak governance and disclosure practices at the company, which is a red flag for retail investors. The repeated failure to file XBRL-formatted disclosures and properly maintain insider trading records could attract regulatory scrutiny if not corrected.
