The NCLT Mumbai Bench, through an order dated July 10, 2025, has approved the second motion petition for merging six wholly-owned subsidiaries into Yatra Online Limited. The subsidiaries being amalgamated are Yatra TG Stays, Yatra Hotel Solutions, Yatra For Business, Yatra Corporate Hotel Solutions, Travel.Co.In, and Yatra Online Freight Services. The tribunal has directed notices to be issued to statutory authorities (RBI, SEBI, Income Tax, Competition Commission, etc.), who have 30 days to submit any objections. The matter is next listed for hearing on August 13, 2025. Since all six companies are fully owned by Yatra Online, no share-swap ratio is required and no shares will be issued to outside shareholders as part of this scheme.
This is an internal restructuring exercise to consolidate wholly-owned subsidiaries into the listed parent, simplifying the corporate structure. Shareholders are unlikely to see a direct impact on stock price, as no new equity is being issued and no cash is changing hands. The merger may marginally improve operational efficiency and governance clarity once completed.
