ZF Steering Gear India reported Q1 FY26 (quarter ended June 30, 2025) standalone revenue of Rs 130.93 crores versus Rs 127.89 crores YoY, with net profit of Rs 11.95 crores versus Rs 13.52 crores YoY. On a consolidated basis, revenue was around Rs 135–136 crores and net profit attributable to shareholders was Rs 7.95 crores versus Rs 10.19 crores YoY, a roughly 22% decline. The 45th AGM is scheduled for September 8, 2025 via video conferencing, with book closure from September 2–8, 2025 to determine e-voting eligibility. The Board also approved in-principle the transfer of leasehold rights over factory land (~20,234 sq mtrs) and building (~13,281 sq mtrs) held by wholly-owned subsidiary NexSteer to another wholly-owned subsidiary DriveSys at arm's length price, to support DriveSys's new aluminium extrusion and melting business. The statutory auditor issued an unmodified opinion on both the standalone and consolidated limited review results.
The consolidated earnings dip and mild margin compression in Q1 may be a modest near-term negative, while the asset transfer is an internal group reorganisation between wholly-owned subsidiaries and should not materially affect minority shareholders. Investors should note the September 2–8, 2025 book closure window for AGM e-voting eligibility.
