Shareholders of ZF Steering Gear (India) approved, via postal ballot (e-voting from Nov 1–30, 2025), the reclassification of three promoters — Mrs. Amita Jinendra Munot (1.62%), Mr. Piyush Jinendra Munot (1.28%), and Mr. Yash Munot (1.24%), together holding ~3.76 lakh shares (~4.14% of paid-up equity) — from the 'Promoter & Promoter Group' category to the 'Public Shareholder' category under Regulation 31A of SEBI Listing Regulations. Out of a total 9,073,300 equity shares, 5,049,532 votes (~55.65%) were polled, with 99.97% voting in favour (5,048,215 votes) and only 1,317 votes (0.03%) against. The promoter group voted unanimously in favour (5,043,011 votes), while public shareholders showed 79.80% in favour and 20.20% against. The resolution was passed with the requisite majority on November 30, 2025.
This reduces the effective promoter shareholding from about 66.9% to about 62.8%, increasing the public float modestly. It is largely a corporate housekeeping/reclassification event with strong approval and is unlikely to materially affect the stock price in the short term.
