Update on acquisition of Dice Enterprises Private Limited

Zaggle Prepaid Ocean Services Ltd has modified its deal structure for acquiring Dice Enterprises Private Limited. Instead of acquiring the entire shareholding as originally planned, the company will now purchase specific assets including Software, Databases/Codebase, Contracts, Intellectual Property, and Domain Names in the Spend Management space. The cash consideration is approximately Rs. 67.9 Crores plus applicable taxes. Dice is a spend management platform providing travel and expense management, accounts payable management, and procurement management solutions. Dice achieved a turnover of Rs. 10.85 Crores in FY 2024-25, growing from Rs. 3.87 Crores in FY 2022-23. The transaction is not a related party transaction and is expected to close within 120 days from Board approval. This acquisition will expand Zaggle's AI-enabled product offerings and customer base while enabling expansion in Indian and global markets.
