Update on acquisition of Dice Enterprises Private Limited

Zaggle Prepaid Ocean Services Ltd has modified its deal structure for acquiring assets from Dice Enterprises Private Limited. Instead of acquiring the entire shareholding of Dice, the company will now purchase only specific assets including Software, Databases/Codebase, Contracts, Intellectual Property, and Domain Names in the Spend Management space for approximately Rs. 67.9 Crores plus applicable taxes. The transaction will be completed in cash and is expected to close within 120 days from board approval. Dice Enterprises is a spend management platform with operations only in India, having achieved a turnover of Rs. 10.85 Crores in FY 2024-25, growing from Rs. 3.87 Crores in FY 2022-23. The acquisition is not a related party transaction.
