Zee Media Corporation's Board has approved issuing up to 14 crore warrants at Rs. 8.50 per warrant to three foreign portfolio investors, raising up to Rs. 119 crore. The investors are Magnifica Global Opportunities VCC-MGO High Conviction Fund, Minerva Ventures Fund, and Sun India Opportunities Investing Fund. Each warrant converts into one equity share within 18 months, with 25% payable upfront and 75% on conversion. Post-conversion, these investors will collectively hold about 15.75% of the fully diluted equity. The Board also re-appointed Ms. Swetha Gopalan as Independent Director for a second 5-year term. An EGM on June 13, 2026 will seek shareholder approval for both matters.
