Zee Media Corporation's board approved the issuance of up to 14 crore warrants at Rs. 8.50 per warrant, raising up to Rs. 119 crore from three Foreign Portfolio Investor (FPI) entities: Magnifica Global Opportunities VCC-MGO High Conviction Fund, Minerva Ventures Fund, and Sun India Opportunities Investing Fund. Each warrant is convertible into one equity share within 18 months. At current prices, this implies a significant dilution — post-conversion, each investor will hold approximately 5% of the company. The board also re-appointed Ms. Swetha Gopalan as Independent Director for a second 5-year term from August 2026. Shareholder approval via an EGM on June 13, 2026 is being sought.
The warrant issuance will dilute existing shareholders by approximately 7.7% on a fully diluted basis. The involvement of multiple FPIs signals institutional confidence, but the large quantum of warrants may weigh on near-term stock sentiment until conversion is completed.
