Zee Media Corporation Ltd's Board approved two key items on May 18, 2026. First, the company will issue up to 14 crore warrants at Rs. 8.50 each to three Foreign Portfolio Investors (Magnifica Global, Minerva Ventures, and Sun India Opportunities), raising up to Rs. 119 crore. These warrants are convertible into equity shares within 18 months. Second, Ms. Swetha Gopalan is being re-appointed as Independent Director for a second consecutive term of 5 years from August 1, 2026 to July 31, 2031, subject to shareholder approval at an EGM on June 13, 2026. Post-conversion, these FPIs will collectively hold around 15.75% of the fully diluted share capital.
The warrant issuance will cause equity dilution for existing shareholders, with FPIs gaining significant stakes. The re-appointment of Ms. Gopalan is a routine governance matter with no material impact on stock.
