Zen Technologies Ltd has submitted its Annual Secretarial Compliance Report for FY2026, examined by Practicing Company Secretaries M/s P.S. Rao & Associates. The auditors found the company largely compliant across all major SEBI regulations including LODR, ICDR, SAST, SBEB & Sweat Equity, PIT, Depositories Act and related regulations. However, one violation was identified: Mr. J. Srinivasa Rao, a designated person, undertook a contra-trade (buying and selling the same security within the allowed window) between August 8–30, 2024, in breach of Regulation 9(1) of the SEBI (PIT) Regulations. SEBI issued a warning letter to the individual and the former company secretary. The Audit Committee imposed a fine of Rs. 5,000 on the violator, and the disgorged profit was deposited to SEBI IPEF on February 2, 2026. No other non-compliances were observed.
The single violation is minor in nature, with the company having taken corrective action and deposited the disgorged profit. No penalty was imposed on the listed entity itself, which is a relief for shareholders. The incident highlights a gap in monitoring designated persons' trading, which the management has committed to address through weekly monitoring.
