Zen Technologies has issued a postal ballot notice seeking shareholder approval for three items. First, approval for material related party transactions with its 51%-owned subsidiary Unistring Tech Solutions Private Limited (UTS), an electronic warfare and radar systems company, for an aggregate value up to ₹750 crore during FY 2026-27 (about 77% of the company's FY24-25 consolidated turnover of ₹973.64 crore). Previous transactions with UTS stood at ₹151.32 crore in purchases plus ₹7.56 crore in capital purchases in FY24-25, and ₹63.64 crore in purchases up to December 2025. Second, re-appointment of Mr. Ashok Atluri as Chairman and Managing Director for three years from May 1, 2026 to April 30, 2029. Third, re-appointment of Mr. Kishore Dutt Atluri as President & Joint Managing Director for the same three-year period. The e-voting window runs from March 26, 2026 to April 24, 2026.
Shareholders should evaluate the ₹750 crore related party transaction limit given it represents a significant share of consolidated turnover and would require majority approval. The re-appointments of both promoter executive directors lock in leadership continuity for three years. Related parties are not allowed to vote on the RPT resolution. Approval of these resolutions is largely expected given promoter control of the company.
