Zen Technologies' board approved acquiring a 54.67% stake in TISA Aerospace Private Limited for up to Rs. 6.56 crores in cash. The deal includes buying 2,06,518 equity shares and 4,00,000 compulsory convertible debentures (CCDs) of Rs. 100 each, making TISA a subsidiary of Zen. TISA operates in the aerospace and defence sector, focused on designing unmanned aerial vehicles (UAVs) and loitering munitions, with FY25 revenue of Rs. 1.81 crore. The transaction is not a related-party deal and is expected to close by Q2 FY26. This marks Zen's entry into the UAV segment, expanding its defence product portfolio beyond its existing training and anti-drone solutions.
The acquisition gives Zen a foothold in the fast-growing UAV and loitering munitions space, diversifying its defence revenue streams. While TISA's current turnover is small, the strategic value lies in technology and product expansion — shareholders should view this as a growth-oriented move rather than an immediate revenue booster. Short-term stock reaction may be muted given the small deal size relative to Zen's own scale.
