Zenith Exports Limited has been fined Rs. 3,95,300 each by both NSE and BSE (totaling about Rs. 7.9 lakh including GST) for non-compliance with Regulation 17(1) of SEBI's Listing Obligations and Disclosure Requirements (LODR) Regulations, relating to the composition of the Board for the quarter ended December 31, 2025. The fine was calculated at Rs. 5,000 per day for 67 days, and stems from the company's failure to appoint a woman director and maintain the required Board composition. The company attributes this to difficulty in finding suitable candidates, noting that a resolution to appoint an Independent Director was defeated by dissenting shareholders last year. The company is in the process of filing waiver requests with both exchanges, but warns that the fine will keep accumulating daily until compliance is achieved.
The direct financial impact is minor (under Rs. 8 lakh combined), but the bigger risk for shareholders is that if this non-compliance continues into a second consecutive quarter, the stock could be shifted to the 'Z' category and face trading suspension, which would hurt liquidity and likely weigh on the share price.
